4. Intellectual Property

Client Materials

Deliverables

Pre-existing Materials

We retain ownership of our pre-existing tools, libraries, frameworks, and methodologies that may be used in your project. You receive a license to use these as part of your deliverables.

5. Confidentiality

We agree to keep confidential all proprietary information shared during the engagement. We are willing to sign Non-Disclosure Agreements (NDAs) upon request.

6. Warranties and Disclaimers

We warrant that our services will be performed in a professional manner consistent with industry standards. However:

• We do not guarantee that software will be error-free
• We are not responsible for issues caused by third-party services or APIs
• We provide services "as is" without warranties of merchantability or fitness for a particular purpose

7. Limitation of Liability

To the maximum extent permitted by law, EPIXS Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the amount paid by you for the specific service in question.

8. Project Changes

Changes to project scope, requirements, or deliverables may affect timeline and pricing. All changes must be agreed upon in writing by both parties.

9. Termination

Either party may terminate the engagement with written notice. Upon termination:

• You are responsible for payment of all work completed
• We will deliver all completed work and materials
• Confidentiality obligations continue after termination

10. Support and Maintenance

Post-delivery support and maintenance terms will be specified in the project agreement. Extended support packages are available separately.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Tirupati, Andhra Pradesh, India.

12. Website Use

When using our website, you agree not to:

• Use the website for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Transmit malicious code or interfere with website functionality
• Scrape or collect data without permission
